Terms and Conditions for Recouple
Introduction
Welcome to Recouple! These Terms and Conditions (“Agreement”) govern your access to and use of our online platform, through which therapy and counseling services are provided (“Services”). This website is owned and operated by Sodasoft LLC, located at 30 N Gould St, Sheridan, WY 82801, United States ([email protected]). Our Services are accessible via our website at recouple.com and related applications.
By accessing or using the Services, you agree to be bound by this Agreement. Please read it carefully before using the Services. If you do not agree to these terms, do not access or use the Services.
1. Acceptance of Terms
By accessing our Services, you confirm your acceptance of this Agreement and agree to be bound by its terms and conditions. If you disagree with any part of the terms, you may not access the Services.
2. Changes to Terms
Recouple reserves the right to modify these Terms and Conditions at any time. Changes will become effective immediately upon posting on our site. Your continued use of our Services after such changes will constitute acknowledgment and agreement of the modified terms.
3. User Eligibility
The Services provided by Recouple are intended for individuals who are 18 years of age or older, or the age of majority in their jurisdiction, whichever is higher. By using Recouple, you represent and warrant that you are 18 or older, or that you have your guardian’s consent, and that you have the legal capacity to enter into a binding contract.
4. User Accounts
You must provide accurate and complete information when creating your account on Recouple. You are responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account. If you share your password with someone else and they misuse your account, you are responsible for their actions on your account.
5. Services Provided
Recouple connects therapists and clients for online counseling and therapy services. These services are intended for informational and educational purposes and are not a substitute for professional medical advice, diagnosis, or treatment.
Scope of Services
Our Services provide a platform for connecting licensed therapists with clients seeking online counseling and therapy. The Services include, but are not limited to, facilitating secure communications, appointment scheduling, and access to therapy sessions conducted via chat, video call, or phone. Recouple is not a healthcare provider, nor does it provide emergency medical services, clinical diagnosis, or treatment.
6. Content Disclaimer
Non-Medical Advice
The content provided through the ‘Insights’ section or any other part of Recouple’s services, including but not limited to articles, opinions, advice, statements, services, offers, or other information made available by third parties such as content providers and other users of the Services, are those of the respective authors or distributors and not of Recouple. The content should not be considered as medical or health advice. Always seek the advice of your physician or other qualified health providers with any questions you may have regarding a medical condition.
Limitation of Liability for Content
Recouple does not guarantee the accuracy, completeness, or usefulness of any content provided on the platform and expressly disclaims liability for errors or omissions in this content. The use of the Services and their content is at your own risk. While we strive to provide useful and accurate information, we do not endorse any specific tests, physicians, products, procedures, opinions, or other information that may be mentioned in the Services. Reliance on any information provided by Recouple, its employees, contracted writers, or medical professionals presenting content for publication to Recouple is solely at your own risk.
7. Appointments and Cancellations
Users may schedule and cancel appointments through the platform. Cancellations must be made at least 48 hours in advance to avoid penalties. Only the transaction fee will be charged for timely cancellations. Cancellations made within 48 hours of the appointment will result in a charge of 75% of the session fee. 50% of this fee is retained by Recouple, and 25% is paid to the therapist.
To cancel an account, users must send an email to [email protected]. The account and all associated data will be removed within 8 business days.
8. Payment and Refunds
Payments for therapy sessions are processed through Stripe. Users agree to pay all applicable fees. Refunds are provided under the conditions specified in section 7 regarding cancellations. Transaction fees are non-refundable.
9. Ratings and Reviews
Users may rate and review therapists after sessions. Reviews must be honest and not contain offensive or defamatory content. Recouple reserves the right to remove inappropriate reviews at its sole discretion.
10. Termination of Service
Recouple reserves the right to terminate or suspend your access to our service at any time, without prior notice or liability, for any reason, including but not limited to a breach of these terms. Upon termination, your right to use the service will immediately cease. All provisions of the terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Limitation of Liability
Recouple and Sodasoft LLC are not responsible for the conduct of sessions or any statements made during sessions. Recouple provides a platform to connect therapists and clients and disclaims all liability to the fullest extent permissible by law. In no event shall Recouple or Sodasoft LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties; (iii) any content obtained from the services; and (iv) unauthorized access, use, or alteration of your transmissions or content.
12. Disclaimer of Warranties
The service is provided “as is” and “as available” without any warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, noninfringement, or course of performance. Recouple and Sodasoft LLC do not warrant that (i) the service will function uninterrupted, secure, or available at any particular time or location; (ii) any errors or defects will be corrected; (iii) the service is free of viruses or other harmful components; or (iv) the results of using the service will meet your requirements.
13. Indemnification
You agree to defend, indemnify, and hold harmless Recouple, Sodasoft LLC, and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of (a) your use and access of the service, by you or any person using your account and password; (b) a breach of these terms; or (c) content posted on the service.
14. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
15. Dispute Resolution
Any disputes arising out of or relating to this Agreement or the use of the service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. If mediation is unsuccessful, disputes will be settled in the courts of Wyoming.
16. Cancellation and Refund Policy
Users may cancel their therapy sessions at any time through their account settings or by contacting our customer support. If a session is canceled more than 48 hours before the scheduled time, users will only be charged the transaction fee. Cancellations made within 48 hours of the appointment will result in a charge of 75% of the session fee, with 50% retained by Recouple and 25% paid to the therapist. Recouple does not provide refunds for any completed therapy sessions, except as required by applicable law.
17. Intellectual Property Rights
The content, arrangement, and layout of this site, including but not limited to the trademarks, photos, logos, text, graphics, icons, images, and the like (collectively, “Intellectual Property”), as well as the selection, assembly, and arrangement thereof, are the sole property of Recouple. You are granted a non-exclusive, non-transferable, revocable license to access and use the site strictly in accordance with these terms.
Ownership and Licenses
All content displayed on or accessed through the Recouple platform, including text, graphics, logos, images, music, software, and the user interface, is the property of Sodasoft LLC, its licensors, or used under license. You are granted a non-exclusive, non-transferable license to access and use the Services and the content for your personal, non-commercial use only.
Explicit Software License
Recouple grants you a revocable, non-exclusive, non-transferable, limited license to use the software provided by Recouple solely for your personal and non-commercial use strictly in accordance with these Terms and Conditions.
18. User Conduct and Responsibilities
Users are expected to use the Recouple platform responsibly and ethically. You agree not to use the Services to:
•Engage in any activities that are unlawful, invasive, infringing, defamatory, or fraudulent.
•Transmit content that violates any local, state, national, or international law, or that infringes upon the rights of others.
•Attempt to gain unauthorized access to other user accounts or to
the administrative areas of the Service.
•Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
•Interfere with or disrupt the Services or servers or networks connected to the Services.
Content Standards
Content posted by users must not:
•Contain explicit language, hate speech, disruptive or offensive language, or material that is sexually explicit or violent.
•Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
•Infringe on any patent, trademark, trade secret, copyright, or other intellectual or proprietary rights of any party.
•Violate the legal rights (including the rights of privacy and publicity) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and Conditions and our Privacy Policy.
•Be likely to deceive any person, promote any illegal activity, or advocate, promote, or assist any unlawful act.
Security Responsibilities
Users are responsible for maintaining the security of their own computer systems, internet access, and the Recouple accounts they use. This includes using strong passwords and keeping such passwords confidential. You should take care to ensure that your systems are secure and protected against malware and other security threats. Recouple is not responsible for any loss or damage resulting from your failure to comply with these security requirements.
19. Prohibited Uses
You are prohibited from using the site or its content:
•For any unlawful purpose.
•To solicit others to perform or participate in any unlawful acts.
•To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances.
•To infringe upon or violate our intellectual property rights or the intellectual property rights of others.
•To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
•To submit false or misleading information.
•To upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet.
•To collect or track the personal information of others.
•To spam, phish, pharm, pretext, spider, crawl, or scrape.
•For any obscene or immoral purpose.
•To interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet.
20. Explicit Content Standards
To ensure a respectful and legal use of the Recouple platform, users must adhere to the following content standards:
•Do not post or share content that is explicitly sexual or violent in nature.
•Avoid language that is harmful, threatening, abusive, harassing, defamatory, or discriminatory on the basis of race, gender, religion, nationality, disability, sexual orientation, or age.
•Refrain from posting content that violates or encourages the violation of any law, regulation, or ethical conduct.
•Ensure that all content complies with applicable laws regarding copyright and intellectual property rights.
21. Links to Third-Party Websites
The Services may include links to other websites or services (‘Linked Sites’) solely as a convenience to users. Recouple does not endorse any such Linked Sites or the information, material, products, or services contained on or accessible through Linked Sites. Furthermore, Recouple makes no express or implied warranties with regard to the information, material, products, or services that are contained on or accessible through Linked Sites. Access and use of Linked Sites, including the information, material, products, and services on Linked Sites or available through Linked Sites, is solely at your own risk.
22. Indemnification
You agree to indemnify, defend, and hold harmless Recouple, its parent company Sodasoft LLC, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of these Terms and Conditions, your use of the Services, or the infringement by you, or any other user of your account, of any intellectual property or other right of any person or entity.
23. Service Interruptions and Outage
To ensure the best possible service level, Recouple strives to maintain its website and services with as little disruption as possible. However, Recouple reserves the right, at its discretion, to temporarily suspend access to the website for operational purposes such as maintenance, system updates, or external factors beyond our control (e.g., power outages, technological issues). Recouple is not liable for any loss or damage arising from or in connection with any interruption, suspension, or termination of its services.
24. Business Model and Fees
Recouple operates on a commission-based model. When a couple schedules a therapy session, they will pay for the therapy session plus a 2.1% service fee. Therapists will receive the therapy fee minus a 3.75% service fee. Additionally, therapists will be responsible for covering the processing fee charged by Stripe. This fee is defined by Stripe and may vary. Therapists are also responsible for covering all tax-related costs associated with their earnings.
25. Termination and Account Cancellation
Right to Terminate
Recouple reserves the right to terminate or suspend your account and access to the Services without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services.
Post-Termination Consequences
Upon termination or suspension of your account, your right to access and use the Recouple services will cease immediately. All data associated with your account, including user contributions, may be deleted or retained in archived form by Recouple as required by law or for legitimate business purposes.
User Content Ownership and Rights
Upon termination of your account, your right to use and access the services and to create and upload content therein will cease immediately. You acknowledge that your contributions to the site, unless deleted by you prior to account termination, may remain on the site. Recouple reserves the right to retain archived copies of all user content as part of our routine backup and archiving processes. You grant Recouple a perpetual and irrevocable license to maintain such content in its archives without the ability to restore it to user-accessible formats.
26. Data Protection and Privacy
Your privacy is of utmost importance to us. All personal information collected through the Recouple platform is processed in accordance with our Privacy Policy, which forms an integral part of these Terms. By using our Services, you consent to the collection, use, and disclosure of your information as outlined in our Privacy Policy and agree to be bound by its terms. Furthermore, by agreeing to these Terms, you acknowledge that you understand and comply with our data protection and privacy practices.
Data Retention and Deletion
Upon termination of your account, you understand and agree that Recouple may retain archived copies of your information and content as part of our standard backup processes. Such data will be retained for a legally permissible period to comply with legal obligations, resolve disputes, and enforce agreements. If you wish to request the deletion of your personal data post-account termination, please contact our support team, and we will facilitate your request in accordance with applicable laws.
27. Governing Law
These Terms shall be governed and construed in accordance with the laws of Wyoming, United States, without regard to its conflict of law provisions.
28. Arbitration Clause
In the event of any dispute, claim, or disagreement arising from or relating to our Services or this Agreement, the parties shall use their best efforts to settle the dispute through mediation. If a resolution cannot be reached through mediation, then the disputes shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration hearing shall take place in Sheridan, Wyoming, and be governed by the laws of the state of Wyoming.
